Welcome to the AI video creation services provided by Toai (“the Platform” or “we”). These Terms of Service (the “Terms”) form a legally binding agreement between you and us. By accessing or using our services, you acknowledge that you have read, understood and agree to be bound by all of these Terms.
If you do not agree with any part of these Terms, please stop using our services.
02 Description of Service
The Platform provides AI-based video generation and creation tools, including but not limited to image-to-video, scene generation and stylization. We may continuously iterate, adjust or add features, and reserve the right to change the service.
You understand and agree that AI-generated results are inherently uncertain and may not fully meet your expectations; generation quality and effects do not constitute a promise or warranty by us.
03 Account Registration & Security
- you must provide true, accurate and complete information to register and use an account, and update it promptly when it changes;
- you are responsible for safeguarding your account credentials and for all activity under your account;
- notify us immediately if you discover unauthorized use of your account or any other security issue;
- you may not transfer, lend or share your account, nor maliciously register multiple accounts.
04 User Content & License
Content ownership: you retain the rights you hold in the materials you upload (e.g. images, text) and, to the extent permitted by law, in the generated results.
License grant: to provide the service, you grant us a non-exclusive, worldwide license to store, process, reproduce and display your content, solely as necessary to deliver the service and improve the product.
Content responsibility: you must ensure you have lawful rights to the content you upload and that its use does not infringe any third party's intellectual property, likeness, privacy or other legitimate rights. You bear any disputes and liabilities arising from your content.
05 Acceptable Use
When using the Platform, you agree not to:
- create, upload or distribute content that violates laws or public morals;
- generate content involving violence, pornography, discrimination, misinformation or other harmful material;
- use others' likeness, voice or identity without authorization, or produce deepfakes and other misleading works;
- infringe others' intellectual property, trade secrets or other legitimate rights;
- use technical means to attack, disrupt or damage the service, or bypass or abuse usage limits;
- use the service for any unlawful or unauthorized commercial purpose.
For violations of these rules, we may take measures including limiting features, suspending or terminating accounts, and reserve the right to pursue legal liability.
06 Intellectual Property
The intellectual property in the Platform's software, interface, trademarks, logos, copy and related technology belongs to us or the respective rights holders and is protected by law. Without written permission, you may not copy, modify, distribute or use it commercially.
All rights not expressly granted to you under these Terms are reserved by us.
07 Subscriptions & Payment
Some services may be offered via paid subscription or usage-based billing. Specific prices, billing methods and entitlements will be shown on the relevant purchase pages.
- subscriptions may auto-renew each cycle; you can cancel before renewal as instructed;
- except as required by law or otherwise promised by us, fees already paid are generally non-refundable;
- we reserve the right to adjust prices and plans, with advance notice given by appropriate means.

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no express or implied warranties of merchantability, fitness for a particular purpose, stability, uninterrupted operation or error-free performance.
You understand and agree that you use the service at your own risk.
09 Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages (including loss of profit or data) arising from your use of or inability to use the service.
In any case, our aggregate liability to you under these Terms shall not exceed the fees you actually paid for the relevant service during a certain period before the event giving rise to liability.
10 Changes & Termination
We reserve the right to modify, suspend or terminate all or part of the service at any time. For material changes, we will give advance notice by appropriate means.
If you breach these Terms, we may immediately suspend or terminate the service. After termination, the provisions on intellectual property, disclaimer, limitation of liability and dispute resolution survive.

The formation, validity, interpretation and dispute resolution of these Terms are governed by applicable law. Any dispute arising from or relating to these Terms shall first be resolved through friendly negotiation; failing that, it may be resolved through channels of competent jurisdiction in accordance with law.
